These Terms of Use and Terms & Conditions (“Terms”) govern your access to and use of hercircle.info and your participation in services, events, programmes, memberships and other activities offered by Her Circle Enterprises L.L.C-FZ, trading as Her Circle (“Her Circle”, “we”, “us” or “our”).

Please read these Terms carefully.

By using our website, submitting an application, registering for an event, purchasing a service, joining a programme or membership, or otherwise using a Her Circle service, you agree to these Terms.

If specific terms are displayed when you purchase or register for a particular service, event, programme or membership, those specific terms also form part of your agreement with us. If there is a conflict, the specific terms relating to that purchase or programme will apply to the extent of the conflict, subject to mandatory UAE law.

1. About Her Circle

Her Circle is a commercial growth ecosystem for women founders and business owners building in or entering the United Arab Emirates.

Her Circle may provide or facilitate:

• founder events;
• workshops;
• educational sessions;
• business diagnostics;
• founder discussions and case-review formats;
• membership services;
• growth programmes;
• expert sessions;
• access to business resources;
• introductions to selected experts or organisations;
• partner opportunities;
• networking and relationship-building opportunities; and
• other business support services.

Our services and formats may change from time to time.

2. Eligibility

You must be at least 20 years old and legally capable of entering into a binding agreement to purchase or participate in Her Circle services.

Certain events, programmes, membership tiers or opportunities may have additional eligibility criteria.

Her Circle may review applications and may accept or decline participation where a service is curated, capacity-limited or designed for a particular founder stage, market or business profile.

Submitting an application does not guarantee acceptance.

3. Website Use

We grant you a limited, revocable, non-exclusive and non-transferable right to use our website for lawful personal or business purposes connected with evaluating or using Her Circle services.

You must not:

• use the website for unlawful, fraudulent or misleading purposes;
• attempt to gain unauthorised access to the website, systems or accounts;
• introduce malware, harmful code or other disruptive technology;
• scrape, crawl, harvest or systematically extract website data without permission;
• reproduce or commercially exploit substantial portions of the website or our materials without written permission;
• impersonate another person or organisation;
• submit information that you know is false or materially misleading;
• infringe intellectual property, privacy, confidentiality or other rights; or
• use Her Circle's website, community or services to harass, threaten or unlawfully solicit another person.

We may restrict access where we reasonably believe these Terms have been breached.

4. Applications, Diagnostics and Assessments

Her Circle may offer complimentary or paid diagnostics, application calls or business assessments.

Any assessment is intended to help identify areas that may be relevant to your business and possible next steps.

A diagnostic or assessment:

• is not a guarantee of business success;
• is not a guarantee of acceptance into a programme or membership;
• does not guarantee access to any particular expert, partner, client, investor or opportunity; and
• should not be treated as legal, tax, accounting, investment or regulated professional advice unless expressly provided by a properly qualified professional under a separate engagement.

You remain responsible for your own business decisions.

Her Circle may recommend a paid programme, service, partner or expert where we believe there may be a relevant fit. You are under no obligation to purchase a recommended service unless you separately choose to do so.

5. Memberships and Programmes

Her Circle may offer memberships, subscriptions, fixed-term programmes or other ongoing services.

The specific features, duration, fees and included services will be described on the applicable offer, checkout page, proposal or registration material.

Membership or programme benefits may include access to particular sessions, resources, opportunities, introductions, reviews or other services.

Unless expressly guaranteed in the applicable offer, membership does not guarantee:

• a minimum number of client leads;
• revenue;
• sales;
• funding;
• investment;
• media coverage;
• partnerships;
• customer acquisition;
• referrals;
• introductions to a particular person or organisation; or
• any specific commercial result.

Availability of individual experts, partners, events or opportunities may change.

Recurring Memberships

All Her Circle memberships automatically renew unless cancelled in accordance with this section.

The minimum membership commitment is one month and membership fees are billed in advance. Monthly memberships renew every month, three-month memberships renew every three months, and annual memberships renew annually.

By purchasing a membership, you authorise Her Circle and its applicable payment provider to charge your selected payment method for each renewal period at the applicable membership fee until the membership is cancelled.

To prevent the next renewal, you must request cancellation by email at hello@hercircle.info at least seven (7) days before your next billing date.

If a cancellation request is received less than seven (7) days before the next billing date, the upcoming renewal may already be processed and the cancellation will apply from the following renewal period.

Following cancellation, you will continue to have access to your membership benefits until the end of the subscription period already paid for. No further renewal charges will be made after the cancellation becomes effective.

Her Circle may communicate renewal or billing information electronically using the contact details associated with your membership.

Changes to Memberships

We may reasonably modify membership features, session schedules, experts, formats or delivery methods where necessary to operate or improve the service.

If a material change substantially reduces a prepaid core service, we will address the change reasonably and in accordance with applicable UAE consumer law.

6. Fees, Payments and Taxes

Fees will be displayed or otherwise communicated before you complete a purchase.

Unless stated otherwise, prices are denominated in UAE dirhams.

Applicable taxes, including VAT where applicable, will be handled in accordance with UAE law and should be identified where required.

Payments may be processed through third-party payment providers.

You are responsible for providing accurate billing information and ensuring that your chosen payment method is authorised and has sufficient funds.

For automatically renewing memberships, you authorise recurring charges in accordance with the billing cycle selected at the time of purchase until cancellation becomes effective under Section 5 of these Terms.

Your bank or payment provider may apply additional currency conversion, international transaction or other charges. Such charges are imposed by the relevant provider and are generally outside Her Circle's control.

7. Refunds and Cancellations

Memberships

All membership sales are final and non-refundable once the applicable membership period has started.

No partial refunds, prorated refunds or credits are provided for unused membership time, unused benefits, missed sessions or a decision not to use the membership during a subscription period that has already been paid for.

Cancelling a membership prevents future renewals in accordance with Section 5 but does not create a right to a refund for the current subscription period.

Nothing in this Refund Policy excludes or limits any refund, remedy or consumer right that cannot lawfully be excluded under applicable UAE law.

Events

A participant may request cancellation of a paid event registration by contacting Her Circle at least forty-eight (48) hours before the scheduled start time of the event. Where the cancellation request is received within this period, the amount paid for the event will be refunded.

Cancellations received less than forty-eight (48) hours before the scheduled start time of the event are non-refundable, including in the event of non-attendance.

Unless otherwise stated for a particular event, event registrations may not be transferred to another event or converted into membership or programme credit without Her Circle's approval.

Event Cancellation or Rescheduling by Her Circle

If Her Circle cancels a paid event, participants will be offered either a refund of the amount paid to Her Circle or, where appropriate, the option to transfer their registration to a rescheduled or replacement event.

If an event is rescheduled or its venue, format or timing is materially changed, Her Circle will communicate the change and provide reasonable options depending on the circumstances.

Programmes and Other Paid Services

Refund and cancellation terms for programmes, workshops or other paid services that are not memberships or standard event tickets may be provided separately at the time of purchase or registration.

Where separate refund or cancellation terms are provided before purchase, those specific terms form part of the agreement for that service.

Nothing in this section affects any mandatory right or remedy available under applicable UAE law.

8. Events and Event Conduct

You agree to behave professionally and respectfully at Her Circle events, programmes and community activities.

We may refuse entry or require a participant to leave where their behaviour is, in our reasonable opinion:

• abusive;
• discriminatory;
• threatening;
• seriously disruptive;
• unsafe;
• unlawful;
• persistently promotional or spam-like;
• invasive of another participant's privacy;
• inconsistent with event rules; or
• materially harmful to Her Circle or other participants.

Where removal results from a serious breach of these Terms or applicable event rules, a refund may not be provided to the extent permitted by applicable law.

Event locations, schedules, speakers and agendas may occasionally change.

Speakers or experts may be substituted where reasonably necessary.

9. Photography and Recording at Events

Photography, audio or video recording may take place at selected Her Circle events.

Where applicable, we will provide appropriate notice and obtain consent where required.

If you do not wish to appear in identifiable promotional photographs or recordings, you should notify us before the event or at registration/check-in so that reasonable arrangements can be considered.

A separate consent may be requested for testimonials, interviews, close-up promotional content or other content centred specifically on you.

Unauthorised recording of confidential sessions, founder case discussions or other participants may be prohibited.

10. Confidentiality and Founder Discussions

Her Circle may organise diagnostics, boardrooms, case discussions, peer sessions or other formats in which participants discuss business challenges and commercially sensitive information.

Participants must respect the confidentiality of information clearly identified as confidential or which should reasonably be understood to be confidential.

Unless the relevant participant has given permission, you must not disclose another participant's non-public:

• customer information;
• financial information;
• pricing or commercial strategy;
• business plans;
• unpublished product information;
• personal information;
• trade secrets; or
• other confidential business information.

At the same time, Her Circle cannot guarantee that another participant will comply with confidentiality obligations.

You therefore remain responsible for deciding what information is appropriate to share in a group environment.

Do not disclose passwords, private keys, highly sensitive personal information or information subject to third-party confidentiality restrictions.

11. Partners, Experts and Introductions

Her Circle collaborates with selected experts, speakers, venues, service providers and business partners.

We may assess partners for relevance, experience and credibility; however, unless expressly stated otherwise, third-party providers remain independent businesses.

A Her Circle introduction, recommendation, partnership or event appearance:

• does not create an employment, agency, partnership or joint venture between Her Circle and the third party;
• does not constitute a guarantee of the third party's services or future performance;
• does not require you to purchase anything from the third party; and
• does not make Her Circle a party to a separate contract you subsequently enter into with the third party.

You should carry out your own assessment before purchasing professional or commercial services from a third party.

Any contract for services between you and an external provider will normally be between you and that provider and subject to the provider's own terms.

Where Her Circle separately sells or contracts to provide a service involving an external expert, the applicable offer will specify the relevant arrangement.

12. No Professional or Investment Advice

Her Circle provides business education, commercial support, founder discussions and access to experts.

Unless expressly agreed otherwise in writing and delivered by a suitably qualified professional under an appropriate engagement, Her Circle content does not constitute:

• legal advice;
• tax advice;
• accounting advice;
• regulated financial advice;
• investment advice;
• medical advice; or
• any other regulated professional advice.

Information provided through workshops, events, diagnostics, expert sessions, online content or conversations is general in nature.

You should obtain independent professional advice where appropriate before acting on information that may have legal, financial, tax or regulatory consequences.

13. No Guarantee of Business Results

Business growth depends on many factors outside Her Circle's control.

We do not guarantee that participation will result in:

• revenue growth;
• profitability;
• investment;
• customers;
• sales;
• partnerships;
• contracts;
• media exposure;
• market entry;
• successful fundraising; or
• any other specific commercial outcome.

Examples, case studies and participant results are illustrative and should not be treated as promises of future performance.

14. User Information and Content

You are responsible for ensuring that information you submit to Her Circle is accurate and that you have the right to provide it.

If you provide content such as:

• written feedback;
• testimonials;
• photographs;
• videos;
• case studies;
• presentations; or
• other materials,

you retain ownership of your pre-existing intellectual property.

Where you expressly approve content for publication or promotional use, you grant Her Circle a non-exclusive, royalty-free right to use, reproduce and publish that approved content for the agreed or reasonably apparent purpose.

We will not treat confidential business information submitted for a diagnostic as promotional content merely because you provided it to Her Circle.

15. Her Circle Intellectual Property

Unless otherwise stated, the website and Her Circle materials are owned by or licensed to Her Circle.

This includes:

• Her Circle branding;
• text;
• graphics;
• templates;
• frameworks;
• presentations;
• workshop materials;
• videos;
• recordings;
• programme structures;
• downloadable materials; and
• other original content.

Materials are supplied for your own business learning and internal use unless expressly stated otherwise.

You may not reproduce, sell, commercially distribute, license, publish or create competing products substantially derived from protected Her Circle materials without our prior written permission.

Nothing prevents you from applying general ideas, skills or knowledge learned through a Her Circle programme to your own business.

16. Third-Party Links and Platforms

Our website and services may link to or use external platforms, including form providers, ticketing systems, payment providers, social media platforms, booking tools or partner websites.

These services are operated independently and may be subject to their own terms and privacy policies.

Her Circle is not responsible for an external platform's availability, security, content or independent conduct except to the extent responsibility cannot lawfully be excluded.

17. Website and Service Availability

We aim to keep our website and services available and accurate but do not guarantee uninterrupted or error-free access.

We may:

• maintain or update the website;
• modify features;
• correct errors;
• temporarily suspend functionality; or
• discontinue outdated services.

We may also update programme schedules, resources or delivery methods where reasonably necessary.

18. Suspension and Termination

We may suspend or terminate access to a service, programme or membership where you:

• materially breach these Terms;
• fail to make an amount properly due;
• misuse Her Circle systems or materials;
• engage in unlawful or seriously inappropriate conduct;
• seriously breach confidentiality;
• threaten the safety or rights of participants; or
• repeatedly disregard programme or community rules.

Where appropriate, we may first provide an opportunity to remedy the breach.

You remain responsible for fees lawfully due for services already provided before termination.

Provisions concerning intellectual property, confidentiality, liability, payments and dispute resolution may continue after termination where their nature requires it.

19. Limitation of Liability

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under UAE law.

To the fullest extent permitted by applicable law, Her Circle will not be responsible for indirect, incidental or consequential losses that were not reasonably foreseeable as a direct result of our breach.

Her Circle is not responsible for commercial decisions made independently by a participant or for the acts, omissions or services of independent third-party experts, partners, participants or providers.

Where liability arises from a paid Her Circle service and may lawfully be limited, our aggregate contractual liability relating to that particular service will not exceed the amount paid by you to Her Circle for that service during the relevant period giving rise to the claim, except where a different limitation is required by law.

These limitations do not apply where liability cannot legally be excluded or limited.

20. Your Responsibility

You are responsible for:

• evaluating whether Her Circle services are suitable for you;
• protecting your own confidential information;
• making independent commercial decisions;
• complying with laws applicable to your own business;
• respecting other participants' rights and confidential information; and
• obtaining professional advice where necessary.

You are also responsible for losses reasonably arising from your intentional unlawful use of our services or material breach of these Terms, to the extent permitted by law.

21. Force Majeure

Her Circle will not be responsible for delay or failure to provide a service caused by circumstances reasonably outside our control.

These may include:

• government restrictions;
• venue closure;
• severe weather;
• public health emergencies;
• transport disruption;
• power or telecommunications failure;
• major technology outages;
• acts of war or civil disturbance; or
• other comparable events.

Where such circumstances materially affect a paid service, we will take reasonable steps to reschedule, provide an alternative or otherwise address the affected service in accordance with applicable law.

22. Privacy

Our collection and processing of Personal Data is described in our Privacy Policy.

By using our services, you acknowledge that you have had the opportunity to review that policy.

Where consent is legally required for a particular processing activity, acceptance of these Terms alone will not replace a separate consent where applicable.

23. Changes to These Terms

We may update these Terms to reflect changes to:

• our services;
• our business model;
• applicable law;
• technology; or
• operational requirements.

The latest Terms will be published on our website with the updated effective date.

Material changes affecting an existing paid membership or programme will be communicated where reasonably necessary.

Changes will not retrospectively remove mandatory consumer rights or obligations already accrued.

24. Governing Law and Dispute Resolution

These Terms and your relationship with Her Circle are governed by the laws applicable in the United Arab Emirates and the Emirate of Dubai.

If a dispute arises, we encourage both parties first to attempt to resolve it in good faith through direct communication.

If the dispute cannot be resolved informally, it will be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates, unless applicable mandatory law requires otherwise.

Nothing in this section restricts any mandatory right a consumer may have to make a complaint to an appropriate UAE consumer protection or regulatory authority.

25. General

Severability

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No Waiver

Failure to enforce a right immediately does not mean that the right has been waived.

Assignment

You may not assign your rights under a membership or programme to another person unless Her Circle agrees.

Her Circle may transfer its rights or obligations as part of a genuine corporate restructuring, business transfer or similar transaction, subject to applicable law.

Entire Agreement

These Terms, together with the Privacy Policy and any specific terms provided for a particular purchase, programme or event, constitute the agreement governing the relevant service.
